Terms & Conditions – Viyu Ventures Limited (Omni-Channel Performance Agency)

1. Introduction
   These Terms & Conditions (“Terms”) govern your access to and use of the services provided by Viyu Ventures Limited, including its Omni-Channel Performance Agency offerings (“Services”). By using our Services, you agree to these Terms.

2. Services
   Viyu Ventures Limited provides digital marketing, performance marketing, social media management, WhatsApp & SMS marketing, and other related services (“Services”). Scope and delivery of Services will be outlined in project proposals or contracts.

3. Client Obligations
   Clients must provide accurate information, timely approvals, and any content, assets, or access required for the execution of Services. You are responsible for compliance with any applicable laws regarding your business, products, and communications.

4. Payment & Fees
   Fees for Services are specified in individual contracts or proposals. Payments are due as per agreed terms. Late payments may incur interest charges.

5. Intellectual Property
   Viyu Ventures Limited retains ownership of all materials, methodologies, and tools developed unless otherwise agreed. Clients receive a license to use deliverables for their intended purpose after full payment.

6. Confidentiality
   Both parties agree to maintain confidentiality regarding proprietary information, data, and strategies shared during the engagement.

7. Limitations of Liability
   Viyu Ventures Limited is not liable for indirect, incidental, or consequential damages arising from use of Services. Total liability is limited to fees paid for the specific Services causing the claim.

8. Termination
   Either party may terminate the agreement with written notice. Clients remain responsible for fees incurred up to the termination date.

9. Governing Law
   These Terms are governed by the laws of United Kingdom. Disputes will be subject to the jurisdiction of the relevant courts.

10. Modifications
    Viyu Ventures Limited may update these Terms at any time. Clients will be notified, and continued use of Services constitutes acceptance of revised Terms.
